Mit dem 1. Euro-Justiz-Begleitgesetz werden rechtliche Begleitmaßnahmen im Hinblick auf die Einführung des Euro mit 1. Jänner 1999 geschaffen, wie die Möglichkeit, in Euro zu bilanzieren, die Einführung der "unechten Quotenaktie" und die Ersetzung von Zinssätzen und Wertmessern in Verordnungen und Verträgen durch vergleichbare Parameter im Euroraum.

eine Form der Aktie, die in Dtl. erst im Rahmen der Einführung des Euro zugelassen wurde. Dazu wurde das Aktiengesetz (AktG) durch das Stückaktiengesetz vom 1.4.1998 entsprechend geändert. Stückaktien verkörpern wie Nennbetragsaktien einen Anteil am Grundkapital der AG und unterscheiden sich von den Nennbetragsaktien nur darin, dass sie nicht auf einen solchen Nennbetrag lauten. Jedoch lässt sich ihr "fiktiver Nennbetrag" errechnen, indem das Grundkapital durch die Zahl der Aktien dividiert wird. Deshalb spricht man auch von der unechten nennwertlosen Aktie.

Grundsätzlich sind vier Varianten möglich: das Inkaufnehmen gebrochener Nennwerte, die Nennbetragsglättung durch Kapitalerhöhung aus Gesellschaftsmitteln oder Kapitalherabsetzung, die Nennbetragsglättung durch Neustückelung mit Teilrechten und schließlich die Umstellung auf nennwertlose Aktien, auch Stückaktien genannt.

Das am 1. Jänner 1999 in Kraft getretene 1. Euro-Justiz-Begleitgesetz normiert unter anderem, daß bei Kapitalgesellschaften die in den Satzungen enthaltenen Schilling-Beträge bis spätestens 31.12.2002 durch entsprechende Satzungsanpassung auf Euro geändert werden müssen und läßt als neue Aktienart neben der bisherigen Nennbetragsaktie auch die Einführung einer Stückaktie zu. Diese lautet nicht mehr auf einen bestimmten nominellen Geldbetrag, sondern verbrieft einen aliquoten Anteil am Grundkapital.

Die umkomplizierteste Variante der Umtellung ist die Wechsel auf die Stückaktie, da sie sich nicht auf einen bestimmten Geldbetrag, sondern auf einen Anteil am Kapital der Gesellschaft beziehen. Dabei werden zwei Typen von Stückaktien unterschieden: die echte Stückaktie und die unechte Stückaktie.

Definition 1
Eine vor allem in den USA und Großbritannien übliche Form der Aktie. Sie lautet nicht (wie bei uns üblich) auf einen bestimmten Nennwert, sondern stellt einen prozentuellen Anteil an einem Unternehmen dar; man nennt sie deshalb auch Anteils- oder Quotenaktien. Hat beispielsweise eine Aktiengesellschaft 100.000 Anteile (nennwertlose Aktien) ausgegeben, so ist der Besitzer einer solchen Aktie mit einem Hunderttausendstel an dem Unternehmen beteiligt. Kurse und Erträge (Dividenden) nennwertloser Papiere werden in Währungseinheit pro Stück angegeben.

Den Anlaß dafür, daß sich in letzter Zeit immer mehr Großkonzerne für die nennwertlose Aktie interessieren, liefert die ins Haus stehende Währungsunion. Eine Beibehaltung des Nennwertprinzips berächte nämlich bei der Umstellung des Aktienkapitals auf den Euro beträchtliche Komplikationen bei der Umrechnung mit sich.

Regarding the equity market, the main conclusions are the following: - exchanges will trade and quote in euro from first January 1999. Intermediaries will have to make the necessary conversion in order to account to their clients in the currency chosen by the latter; - coordination and harmonisation of market rules and conventions appears to be less important than for other markets; - redenomination would be a natural sensible step to take at the same time as the change in the consequence of the change to the euro of a company’s accounting unit. It is a company’s decision independent from stock exchanges decision about trading in euro. It is not essential that redenomination happens at the start of Stage 3 as the denomination of share capital should neither affect its economic value nor investors’ ability to trade the shares - non par value (NPV) shares. This is a solution to be recommended. With NPV shares there is no need for physical exchange of shares certificates. The share prices can be adjusted by simple splitting and there is no need for capital adjustment. NPV shares are allowed by the second Community Company Law Directive. However, the implementation of the NPV share solution would require to adopt national legislation to be adopted in most of the Member States.
